The RMAI Board of Directors has approved changes to the Bylaws of the Receivables Management Association International which pursuant to Section 9.1 of said bylaws requires the approval of the membership. The proposed amendments can be viewed here.
Voting Process
The ballot can be found here. Certified member companies in good standing may cast one vote to approve or disapprove the proposed bylaw amendments. Both access to the ballot and voting will end at 5:00 pm (PT) on October 16, 2025.
What are the Bylaw Changes?
A summary of the proposed amendments to the RMAI Bylaws that will take effect if approved by a majority of the quorum of members entitled to vote is below. Please review the full set of changes here.
- Section 4.2: Changes will allow a certified law firm or certified collection agency to be eligible for an officer role on the RMAI board of directors. Should this occur, their vacated at large Director seat shall be filled by a debt buying company representative, maintaining the current balance of debt buyers, collections agencies, and law firms on the RMAI board of directors.
- Section 4.12: Director qualifications have been revised to require that candidates be individuals employed in an executive management position by a Certified Member, possess at least four years of experience in receivables management, and clarifies that the Certified Member company, not individual, must meet the following criteria: debt buying members must have purchased a receivables portfolio in the prior year, law firm members must have litigated a collection case in the prior year, and third-party collection agency members must have collected a portfolio of accounts in the prior year. In addition, in the last three years, candidates must have attended either two Annual Conferences or one Annual Conference and one Executive Summit, with at least one of those meetings taking place in the most recent year.
- Section 5.2: In accordance with the changes in Section 4.2, an at large Director who does not engage in debt buying (i.e. law firm or collection agency) may be selected to serve as an officer.
